1. Agreement to Terms

Welcome to Bramha21. By accessing our website at www.bramha21.com or engaging our digital marketing services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, please do not use our services.

These terms apply to all visitors, users, clients, and others who access or use our services. By using our services, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Services Description

Bramha21 provides comprehensive digital marketing services including but not limited to:

  • Search Engine Optimization (SEO)
  • Social Media Marketing and Management
  • Pay-Per-Click (PPC) Advertising
  • Content Marketing and Creation
  • Email Marketing Campaigns
  • Website Design and Development
  • Brand Strategy and Consultation
  • Analytics and Reporting

The specific services to be provided will be detailed in individual service agreements or proposals. We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

3. Client Obligations

3.1 Information and Access

Clients agree to provide:

  • Accurate and complete information necessary for service delivery
  • Timely access to required accounts, platforms, and materials
  • Necessary approvals and feedback within agreed timeframes
  • All relevant brand guidelines, assets, and credentials

3.2 Lawful Use

You agree to use our services only for lawful purposes. You shall not:

  • Violate any local, state, national, or international law
  • Infringe upon intellectual property rights of others
  • Transmit any harmful, offensive, or illegal content
  • Engage in fraudulent or deceptive practices
  • Attempt to interfere with our services or systems

4. Payment Terms

4.1 Fees and Billing

Service fees will be specified in individual proposals or service agreements. Payment terms include:

  • Payment is due as per the agreed payment schedule
  • Invoices must be paid within 15 days of issuance unless otherwise specified
  • Late payments may incur a fee of 2% per month on outstanding balances
  • All fees are exclusive of applicable taxes unless stated otherwise

4.2 Refund Policy

Refunds are handled on a case-by-case basis. Services already rendered are generally non-refundable. Please refer to our separate Refund Policy for detailed information.

4.3 Price Changes

We reserve the right to modify our pricing with 30 days’ notice for ongoing services. New prices will not affect services already paid for.

5. Intellectual Property Rights

5.1 Client-Provided Materials

You retain all rights to materials, content, and information you provide to us. By providing such materials, you grant us a non-exclusive, worldwide license to use, reproduce, and display them solely for the purpose of delivering our services.

5.2 Work Product

Upon full payment, clients receive ownership of custom deliverables created specifically for them. This includes:

  • Custom graphics and visual content
  • Written content and copy
  • Website designs and code (excluding third-party components)

5.3 Bramha21 Property

All proprietary methodologies, processes, tools, and templates remain the property of Bramha21. We retain the right to use general knowledge, skills, and experience gained during service delivery for other clients.

6. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes:

  • Business strategies and marketing plans
  • Financial information
  • Customer data and lists
  • Technical information and trade secrets

Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or to provide the agreed services.

7. Performance and Results

Digital marketing results can vary significantly based on numerous factors including market conditions, competition, budget, industry, and client cooperation. While we employ best practices and proven strategies, we cannot guarantee specific results, rankings, traffic volumes, or conversion rates.

We commit to:

  • Providing professional services according to industry standards
  • Regular reporting and transparent communication
  • Making reasonable efforts to achieve agreed-upon objectives
  • Adapting strategies based on performance data

8. Term and Termination

8.1 Service Term

Services will commence upon agreement execution and continue for the period specified in the service agreement or until terminated by either party.

8.2 Termination by Client

Clients may terminate services with 15 days’ written notice. Upon termination:

  • Payment is due for all services rendered up to the termination date
  • Any ongoing campaigns will be properly concluded
  • Client materials and data will be returned or transferred
  • Access credentials will be provided where applicable

8.3 Termination by Bramha21

We reserve the right to terminate services immediately if:

  • Payment obligations are not met
  • Client engages in unlawful or unethical practices
  • Client breaches these Terms and Conditions
  • Continuing the relationship is impractical or harmful

9. Liability and Warranties

9.1 Service Warranty

We warrant that our services will be performed professionally and competently in accordance with industry standards.

9.2 Disclaimer

Except as expressly stated, our services are provided “as is” without warranties of any kind, either express or implied. We do not warrant that:

  • Services will meet all client expectations
  • Services will be uninterrupted or error-free
  • Results will be achieved within a specific timeframe
  • Third-party platforms will remain available or unchanged

9.3 Limitation of Liability

To the maximum extent permitted by law, Bramha21’s total liability for any claims arising from our services shall not exceed the total fees paid by the client in the 12 months preceding the claim. We shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Data loss or corruption
  • Third-party claims or actions

10. Third-Party Services

Our services may involve third-party platforms, tools, and services (such as Google Ads, Facebook Ads, hosting providers, etc.). We are not responsible for:

  • Changes in third-party policies or pricing
  • Service interruptions or discontinuations
  • Third-party terms and conditions
  • Third-party data handling practices

Clients are responsible for complying with all third-party terms of service and may need separate agreements with such providers.

11. Indemnification

You agree to indemnify and hold harmless Bramha21, its employees, contractors, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms and Conditions
  • Your violation of any third-party rights
  • Content or materials you provide to us
  • Your business practices or products/services

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to:

  • Natural disasters
  • War, terrorism, or civil unrest
  • Government actions or restrictions
  • Internet or telecommunications failures
  • Pandemics or public health emergencies

13. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified terms. Material changes will be communicated to active clients via email.

14. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.

15. Dispute Resolution

In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiations. If unsuccessful, the dispute may be resolved through:

  1. Mediation by a mutually agreed mediator
  2. Arbitration in accordance with Indian arbitration laws
  3. Legal proceedings in Pune courts as a last resort

16. Miscellaneous

16.1 Entire Agreement

These Terms and Conditions, together with any service agreements and proposals, constitute the entire agreement between you and Bramha21.

16.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these terms without our prior written consent. We may assign our rights and obligations to any affiliate or successor entity.
